Ricktee LLC (“Ricktee”, “we,” “us,” or “our”) provides an ecommerce website and online store at www.ricktee.com (the “Site”) for users to browse and purchase unique Hawaiian shirts and apparel (the “Services”). By accessing or using our Site, Store, Products, Services, Applications, Tools, Forums, Social Media Pages, or any other related offerings (collectively referred to as the “Services”), you agree to be bound by this Terms of Service Agreement (the “Terms”), including all policies incorporated herein.

Your access and use of Ricktee Services is conditioned on your acceptance of and compliance with these Terms. By using our Services, you agree to these Terms. If you disagree with any part of the terms, you may not access or utilize the Services offered.

1. Accounts and Registration

You may browse the Site without registering, but to purchase items, you will need to create an Account. When you create an Account, you guarantee the accuracy of all account details provided. You are fully responsible for maintaining the confidentiality of your login credentials, restricting access by others, and all use or misuse of your Account.

You must promptly update your Account details whenever they change to maintain accuracy. You may only possess one (1) Account per person. Accounts registered by “bots” or other automated methods are not permitted. We reserve the right to suspend or terminate Accounts that violate these Terms or are inactive for prolonged periods.

2. Making Purchases

Our Online Store allows you to purchase physical products or digital downloadable goods. When placing orders, you represent having legal capacity under applicable laws to enter purchase contracts. Completing transactions constitutes unconditional acceptance to be bound by these Terms of Service.

All store policies also govern your purchase, including our shipping, returns, refunds, etc. Descriptions and images of products should not be relied upon in lieu of your independent inspection. By placing an order, you acknowledge responsibility for understanding a product’s features, quality, and fitness for a particular purpose.

3. Intellectual Property Rights

All content published or made available through our Services, including (but not limited to) shop product images and descriptions, downloadable files, graphics, logos, page headers, icons, scripts, designs, affidavits, service names, and trademarks, are the property of Ricktee or its content suppliers, protected under copyright, trademark, patent, and other applicable domestic and international intellectual property laws.

You may not modify, republish, redistribute, adapt, extract, or commercially exploit content without express authorization. Doing so will result in account termination and potential legal action.

4. Privacy Practices

Please review our Privacy Policy to understand how we collect, use, and share data from you. We respect your privacy and process all data in accordance with applicable data protection laws. By using our Services, you acknowledge you have reviewed and agree to our Privacy Practices.

5. Sales Restrictions

Ricktee reserves the unconditional right to accept or deny orders placed through our Services to any party for any reason. We may exercise this right on a case-by-case basis at our sole discretion, including restrictions on quantities available for purchase. If we cancel an order under this right, we have no obligation to notify the prospective purchaser beyond adjusting the order status in our system.

6. Listings and Seller Policies

Third-party sellers listing products for sale through any Ricktee-operated marketplace must abide by all applicable laws and regulations. Sellers are legally bound to ensure all listings are posted accurately, with proper condition notations, features, origin information, and shipment options according to our Seller Rules. We reserve the right to remove listings violating these terms.

7. Accuracy Disclaimer

It is the responsibility of each Service user to ensure posted content or data provided to Ricktee, including (but not limited to) product listings, shipping details, account registration, or contact information, is as accurate and current as possible. Ricktee disclaims liability for damages arising from inaccurate, incomplete, or outdated user-generated data or content.

8. External Content and Services

Ricktee Services may publish third-party content, promotions, or distribute media obtained from external sources outside of our control. Since this content originates externally, we do not warrant its accuracy or integrity.

By using our Services, you accept sole responsibility and risks associated with exposure to third-party media or access to external links. Ricktee does not endorse any third-party content displayed or accessible from our Services.

9. User Content Submissions

By submitting content to Ricktee Services, like reviews, comments, or discussion forum posts, you guarantee ownership or legal rights allowing reproduction of that content. Submissions must be non-confidential with no third-party rights unless expressly permitted.

We assume no liability for accuracy or legality of user submissions under free speech protections. However, we reserve the right to moderate or remove submissions violating site rules. Users grant Ricktee a license for displaying approved submissions subject to our Content Guidelines.

10. Reviews and Ratings

If Services allow posting reviews or ratings for attributes of businesses listed on Ricktee, the opinions expressed reflect personal experiences of users only. They do not constitute professional inspections or authoritative assessments of services or products.

Customers should not solely rely upon user reviews as a basis for final determinations before committing funds or other critical resources to engage with the subject property, product, or service provider under evaluation.

11. Prohibited Conduct

By using Services, you agree not to:

(a) Abuse, harass, threaten, or intimidate other users
(b) Post false, inaccurate, or misleading content
(c) Infringe intellectual property rights of others
(d) Spread computer viruses, malware, or destructive code
(e) Defame, libel, or post unconsented private data
(f) Acquire user data for unauthorized communication
(g) Reproduce or distribute copyrighted material
(h) Solicit without authorization
(i) Circumvent technological access barriers
(j) Violate laws, regulations, or third-party rights

Violating these rules will result in account suspension or termination, along with removal of all related content. We reserve the right to initiate legal action for serious or repeated violations exposing Ricktee to liability.

12. Indemnity

By using Ricktee Services, you agree to unconditionally defend, indemnify, and hold harmless Ricktee, its parent corporation, officers, directors, partners, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:
(a) Your breach of this Agreement or related policies;
(b) Your violation of rights or laws;
(c) Your usage, uploads, posts, or data transfers;
(d) Negligent or intentional acts or omissions by you, affiliated parties, or your devices; or
(e) Any account ownership disputes.

You also agree to fully cooperate in Ricktee’s defense of relevant proceedings or investigations. This defense and indemnification responsibility survives even after agreement termination.

13. Disclaimers (AS-IS Use)

We strive for accuracy in data and content presented or enabled via the Services, but issues inevitably occur. By using our platforms and tools, you must accept Services strictly on an unmodified “as is” basis.

Ricktee expressly disclaims implied warranties for marketability, fitness for a specific purpose, and non-infringement regarding Services, data feeds, or user uploads. We make no guarantees services will be uninterrupted, secure, or error-free, nor that content will remain accessible. You assume full responsibilities and consequences arising from utilization choices.

14. Limitations of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, WE WILL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS OR USE OF OR INABILITY TO ACCESS THE SERVICES, REGARDLESS OF CAUSE OR THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO US OVER THE IMMEDIATELY PRECEDING ONE-MONTH PERIOD.

THE LAWS OF SOME STATES OR JURISDICTIONS MAY NOT ALLOW THE FOREGOING DISCLAIMERS AND LIMITATIONS OF LIABILITY, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Modification and Policy Updates

Ricktee may update, alter, or adjust these Terms and other website policies incorporated by reference at any time. Updated publications supersede prior archived versions immediately upon posting live or providing communication trails to affected users.

We may notify users of important changes, but you are advised to periodically review the latest policies available on our website and in your account message inbox. By continuing the use of Services post-modifications, you accept responsibility for compliance with revisions. If you cannot agree to changes, stop accessing or utilizing Services.

16. Notifications and Communication Preferences

Notifications from Ricktee involving accounts, purchased products, or services may be issued through the registered email address or phone number associated with your Account. Electronic communications are presumed delivered and received by email recipients no later than 24 hours from documented time of issuance. You may manage notification types and communication preferences from your Account settings.
